1. Acceptance of Terms
Welcome to Zucitech Software Solutions Pvt. Ltd. ("Zucitech," "we," "us," or "our"). By accessing our website at zucitech.com, requesting a proposal, signing a statement of work, or otherwise engaging our quality engineering, custom software development, Salesforce/CRM implementation, cloud engineering, or AI/ML consulting services, you ("Client," "you," or "your") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree with any part of these Terms, please do not use our website or services.
Where a separate signed Master Services Agreement (MSA) or Statement of Work (SOW) exists between Zucitech and a client, the terms of that agreement will govern the specific engagement, and these Terms apply to all matters not otherwise addressed in that agreement.
2. Definitions
- "Services" means the software development, quality assurance and test automation, Salesforce/CRM implementation, cloud engineering, AI/ML, staff augmentation, and related consulting services provided by Zucitech.
- "Deliverables" means any work product, code, documentation, reports, or other materials created and delivered by Zucitech under an SOW.
- "Third-Party Products" means software, platforms, licenses, or subscriptions (such as Salesforce, cloud hosting, or testing tools) that Zucitech may resell, provision, or integrate on the Client's behalf.
- "Confidential Information" means any non-public business, technical, or financial information disclosed by either party in connection with an engagement.
3. Description of Services
Zucitech provides technology consulting and delivery services, including but not limited to: custom software development, quality assurance and test automation, Salesforce and CRM implementation, cloud engineering and migration, AI/ML solution development, and reselling or provisioning of related third-party software licenses.
Specific scope, timelines, deliverables, and acceptance criteria for any engagement will be set out in a separate proposal, quote, or Statement of Work. Zucitech reserves the right to decline, modify, or discontinue any service offering at its discretion, and will provide reasonable notice to affected clients where practicable.
4. Use of the Website
You agree to use the Zucitech website only for lawful purposes. You must not: attempt to gain unauthorized access to our systems or networks; interfere with the operation or security of the site; scrape, copy, or reproduce site content for commercial redistribution without permission; or upload malicious code, viruses, or harmful material.
All content on this website, including text, graphics, logos, and the Zucitech name and mark, is provided "as is" for informational purposes about our company and services.
5. Intellectual Property Rights
Unless otherwise agreed in writing in a Statement of Work, all pre-existing tools, frameworks, methodologies, and know-how used by Zucitech in delivering the Services remain the property of Zucitech. Upon full payment of applicable fees, Client-specific Deliverables created exclusively for the Client under an SOW are assigned or licensed to the Client as specified in that SOW.
The Zucitech name, logo, and all associated branding are trademarks of Zucitech Software Solutions Pvt. Ltd. and may not be used without prior written consent.
6. Client Obligations
To enable Zucitech to deliver Services effectively, the Client agrees to: provide timely access to relevant systems, data, and personnel; designate a point of contact for approvals and feedback; supply accurate requirements and business context; and promptly review and approve Deliverables within agreed timeframes.
Delays caused by the Client's failure to meet these obligations may result in adjusted timelines or additional fees, as reasonably determined by Zucitech.
7. Fees, Quotes & Payment
Fees for Services are set out in the applicable proposal, quote, or SOW and may be structured as fixed-price, time-and-materials, or retainer-based engagements. Unless otherwise stated, invoices are due within thirty (30) days of the invoice date.
Late payments may accrue interest at the maximum rate permitted by applicable law and may result in suspension of Services until outstanding balances are settled. All fees are exclusive of applicable taxes, duties, or levies unless stated otherwise.
8. Confidentiality
Each party agrees to protect the other's Confidential Information with the same degree of care it uses to protect its own confidential information, and not to disclose it to third parties except as required to perform the Services, as required by law, or with the other party's prior written consent. This obligation survives termination of any engagement.
9. Third-Party Products & Licenses
Where Zucitech resells, provisions, or facilitates the purchase of Third-Party Products (for example, Salesforce licenses, cloud subscriptions, or testing tools), such products are subject to the applicable third-party vendor's own terms, license agreements, and service level commitments. Zucitech acts as a facilitator or reseller in these instances and does not guarantee the performance, availability, or support terms of third-party vendors beyond what is contractually agreed.
10. Warranties & Disclaimers
Zucitech warrants that Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. Except as expressly stated in an SOW, Services and Deliverables are provided "as is" and Zucitech disclaims all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Zucitech's total liability arising out of or relating to any engagement shall not exceed the total fees paid by the Client for the specific Services giving rise to the claim in the twelve (12) months preceding the claim. In no event shall Zucitech be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.
12. Indemnification
Each party agrees to indemnify and hold the other harmless from third-party claims arising from its own gross negligence, willful misconduct, or material breach of these Terms, except to the extent the claim arises from the other party's acts or omissions.
13. Term & Termination
Engagements continue for the term specified in the applicable SOW. Either party may terminate an SOW for material breach that remains uncured thirty (30) days after written notice, or as otherwise specified in the SOW. Upon termination, the Client shall pay for Services rendered and expenses incurred up to the effective date of termination.
14. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction in which the contracting Zucitech entity is registered, without regard to conflict-of-law principles, unless a specific SOW states otherwise. The parties agree to first attempt to resolve any dispute through good-faith negotiation before pursuing formal legal proceedings.
15. Changes to These Terms
Zucitech may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms.
